Terms of Sale
This English version is provided for convenience. In the event of any discrepancy between this translation and the original French text, the French version shall prevail.
- These Terms of Sale apply exclusively to professional clients, never to an individual acting in a personal capacity (Article 1).
- The fixed fee is always due; the monthly subscription remains optional, never imposed (Article 4).
- A Lighthouse Performance score above 90 is targeted at delivery, with free correction if it falls short (Article 5).
- Your source files and data can be retrieved within fifteen days, at any time, regardless of the reason for leaving (Article 8).
- Any suspension for non-payment is preceded by two reminders and then a formal notice: never a surprise cutoff (Article 7).
- French law applies; since these Terms of Sale are concluded exclusively between professionals, consumer mediation does not apply (Article 10).
- Regulatory compliance services (RGAA, GDPR, EAA) do not constitute legal counsel (Article 11).
1. Purpose
These terms of sale govern the website design services offered by AXIOM TrueNorth, as well as the hosting and maintenance offered as an option.
These services are intended exclusively for clients acting in a professional capacity: businesses, freelancers, associations, local authorities, or any other client contracting as part of a professional activity. AXIOM TrueNorth does not offer its services to an individual acting in a strictly personal capacity, outside of any professional activity.
2. Quotes and acceptance
Each service is the subject of a detailed quote, drawn up following an initial conversation and, where applicable, the indicative estimate obtained via the Estimate page. The quote is free, without commitment, and valid for thirty days from the date it is issued.
The quote is deemed accepted upon electronic signature or any equivalent written agreement.
3. Payment terms
The fixed fee is paid in two instalments: a deposit at the time of order, and the balance upon delivery of the site. The monthly subscription, where taken out, is billed monthly from the site's launch date.
The amounts shown on the site, notably via the estimator on the Estimate page, remain indicative; the final amount due is stated in each quote before acceptance.
In accordance with articles L441-10 and D441-5 of the French Commercial Code, any late payment automatically triggers, without prior formal notice, late-payment penalties calculated at the interest rate applied by the European Central Bank to its most recent refinancing operation plus 10 percentage points, together with a fixed recovery-cost indemnity of 40 euros. Where recovery costs actually incurred exceed that fixed amount, additional compensation may be claimed on supporting evidence.
4. Scope of the fixed fee and the optional subscription
The fixed fee covers the entire design and delivery of the site, with no further conditions or later counterpart: the client becomes its full owner, whether or not they subsequently take out a subscription. The monthly subscription, covering hosting, security, backups, and fixes, is offered and recommended, but never imposed as a condition of delivery.
5. Warranty and liability
AXIOM TrueNorth guarantees the free correction of any malfunction observed within thirty days of delivery, provided it results from a design error attributable to AXIOM TrueNorth.
A Lighthouse Performance score above 90 is targeted as of the delivery date. If this threshold is not reached, the correction needed to reach it is carried out at no additional cost, under the same conditions as the previous paragraph. This commitment concerns the state of the site observed at the delivery date; it constitutes neither an ongoing audit nor a guarantee that this score will be maintained in the face of later changes to the site, content added by the client, or a change in the measurement tool's own methodology.
6. Intellectual property
Ownership of the delivered site transfers to the client upon receipt of the balance of the fixed fee. Generic, reusable components developed by AXIOM TrueNorth for multiple clients remain its property.
7. Suspension for non-payment
This clause applies only where a subscription has been taken out and remains unpaid: a reminder at D+3, a second reminder at D+7, formal notice at D+15, possible suspension at D+23, termination at D+60. No suspension takes place without prior notice.
8. Reversibility
The client may request the recovery of their source files and data at any time. This complete export is delivered within fifteen days of the request, regardless of the reason for leaving.
9. Termination
The client may terminate the monthly subscription at any time, with one month's notice. AXIOM TrueNorth may terminate under the same conditions, except in the event of a serious breach by the client, notably prolonged non-payment (Article 7).
10. Governing law and disputes
These terms are governed by French law. As AXIOM TrueNorth's services are reserved for professional clients (Article 1), the provisions of the French Consumer Code relating to consumer mediation do not apply to these terms.
In the event of disagreement, the parties will endeavour to find an amicable solution before any legal action. Failing that, the dispute falls under the jurisdiction of the French courts.
11. Limits of regulatory compliance services (RGAA, GDPR, EAA)
Services related to digital accessibility (RGAA audit, corrections, follow-up review), GDPR compliance and, more broadly, the European Accessibility Act, are carried out with the greatest care, within the limits of an independent developer's expertise. They do not constitute legal counsel in any way and do not replace the advice of a lawyer, an accredited RGAA expert, or any other qualified legal professional.
A compliance rate, an accessibility statement, or a multi-year action plan produced in this context reflect the state of the site at the time of the service, assessed according to the public methodologies in force (the RGAA reference framework, GDPR and EAA texts). They guarantee neither the absence of any legal risk nor the site's compliance in the eyes of a supervisory authority or a court, which alone are competent to rule on the matter.
In the event of a formal notice, an inspection, or a dispute, the client remains solely responsible for seeking the assistance of a qualified legal professional; AXIOM TrueNorth may, upon request, provide the technical materials produced during the service to facilitate that assistance.
